Acceptance of Terms & Conditions:

Thank you for using electrago.in. The following Terms & Conditions (here within referred to as "terms") are intended to let you know of your legal rights and responsibilities in using electrago.in 's website https://electrago.in (here within referred to as "website"),any other related mobile and software applications (here within referred to as "app") and Electrago store’s on all locations. (here within referred to as “Franchisee”).

• FEE POOLICY

1. The two-wheeler needs to be returned at the specified Date and Time as mentioned on the website/invoice copy. A delay of more than 15 minutes without intimating Electrago executive will cause penalty.

2. A Trip extension request is to be made at least 6 hour before the drop-off time. Such requests are to be made to the online or Electrago executive/Franchisee over the phone. The request will be confirmed or denied as per the availability of bikes. In case the customer doesn’t drop the bike in spite of a denied extension request, Late drop penalty will be charged as mentioned below,

For weekdays (Monday to Friday) – INR 100/- per hour will be charged (Valid till store timings) For weekend (Saturday & Sunday) – Full day booking charges applicable (Valid till store timings)

3. The customer is not authorized to lend the two-wheeler to any person without first informing Electrago Authority. In such cases we will need to verify the documents of the additional rider before starting the trip.

4. In case of minor damages to the helmet, the customer is liable to pay fine as per vendor.

5. In case of damage to the two-wheeler on rent due to accident/mishandling/carelessness, appropriate charges will be calculated by the Franchisee owner or Electrago exective and the customer is liable to pay the same along with the daily tariff until the bike is ready for renting again.

6. In case of theft, the customer is liable to pay, in full, the market rate of the two-wheeler.

7. In case of engine fault or failure, the customer needs to contact the Electrago Field Executive or Franchisee before getting any repairs done. The original printed invoice is mandatory to claim reimbursement for the same.

8. For any cancellation or refund, it takes 7-10 business days for the refunded amount to reflect in your bank account.

• GENERAL TERMS AND CONDITIONS

1. The rider needs to be 18 years of age or older to rent a bike. If the rider is under the stipulated age, his or her order will be cancelled without any refund.

2. The documents mentioned below need to be verified, for each rider.

1. Document 1 – Driving License
2. Document 2 – Passport, Election Card, Aadhaar Card. (Any one of the above).

3. Two-wheeler bookings are subject to availability. Electrago reserves the right to cancel any booking if deemed necessary.

4. Rider should respect and follow Traffic rules and regulations. All Challans issued due to rider negligence need to be paid in full to the penalizing authority.

5. Driving under the influence of Alcohol/Drugs is strictly prohibited. Electrago will not be responsible to compensate for any mishaps and their consequences in such cases. The customer will be liable to pay for all damages to the vendor for the same.

6. Customer has to drop the bike at the same location from where it was picked up. No requests will be accommodated for a change in the drop location.

7. In case a customer feels that they will be late for the drop, they should call the field executive or customer care and ask for a trip extension. Extensions are subject to availability.

8. The Pick-up date, time and location cannot be changed once a booking is confirmed.

9. Check-in (10:00 AM) & Check-out (08:00 PM) timings will be followed strictly.

10. For vehicle maintenance and to ensure the best condition for the next customer, there are limits on the number of kilometers you can drive based on your booking type. The kilometer limits for each booking type are as follows:

• Hourly 10 Kms

• 6 Hours 60 Kms

• 12 Hours 80 kms

• 1 day 120 Kms

• 2 days 240 Kms

• 3 days 350 Kms

• 4 days 450 Kms

• 5 days 550 Kms

• 6 days 650 Kms

• 7 days 750 Kms

• 10 days 1100 Kms

• 15 days 1700 Kms

• 20 days 2000 Kms

• 30 days 2400 Kms

If you exceed the specified kilometer limit for your booking type, an additional per kilometre rate will be applicable, starting from 5/km (Please confirm with Store Executive). This is to cover the extra distance beyond the allowed limit.

• PLATFORM TERMS OF USE

Welcome to Electrago. This App,website & Platform is owned and operated by ELECTRAGO PVT.LTD. , having its registered office at Dhinawas Road Out Side Pali Darwaja Sojat City, Pali Rajasthan india. By using our ELECTRAGO services or renting a Bike through ELECTRAGO, you are agreeing to be bound by our terms and conditions.

This electronic record is generated by a computer system and does not require any physical or digital signatures. By clicking on the “I ACCEPT” button on this electronic contract, you are consenting to be bound by this User Agreement. Please ensure that you read and understand all the provisions of this document before you start using the ELECTRAGO.

If you do not agree or accept any of the Terms and Conditions contained herein, then please do not use the ELECTRAGO or avail any of the services being provided therein.

If this document is not in a language that you understand, you shall contact ELECTRAGO at the email support@electrago.in Failure to do so within 24 (Twenty-Four) hours from the time of receipt of this document and your acceptance of this document by clicking “I ACCEPT” button shall be considered as your understanding of this document.

1. Agreement to Terms

1.1. These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“User” or “Rider”) and ELECTRAGO PVT. LTD. , doing business as ELECTRAGO ("ELECTRAGO ", “we”, “us”, or “our”), concerning your access to and use of the ELECTRAGO App, website, platform as well as any other media form, media channel, mobile App related, linked, or otherwise connected thereto.

1.2. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the App and you must discontinue use immediately.

1.3. Supplemental terms and conditions or documents that may be posted on the App from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time.

1.4. The information provided on the App is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

1.5. The users shall provide their financial data and details only after getting agreed with the terms of use.

2. Responsible Use

2.1. By using the ELECTRAGO, you represent and warrant that:

2.1.1. all registration information you submit will be true, accurate, current, and complete;

2.1.2. you will maintain the accuracy of such information and promptly update such registration information as necessary;

2.1.3. you have the legal capacity and you agree to comply with these Terms of Use;

2.1.4. you are not a minor in the jurisdiction in which you reside;

2.1.5. you will not access the App through automated or non-human means, whether through a bot, script or otherwise;

2.1.6. you will not use the App for any illegal or unauthorized purpose; and

2.1.7. your use of the App will not violate any applicable law or regulation.

2.2. If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the App (or any portion thereof).

2.3. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access ELECTRAGO. Accordingly; you are responsible for all activities that occur under your accounts.

2.4. Accessing (or attempting to access) ELECTRAGO by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) Electrago through any automated, unethical or unconventional means.

2.5. ELECTRAGO does not screen or censor the customers who register on or/and access the ELECTRAGO platform. You assume all risks associated with dealing with other users with whom you come in contact through the App. You agree to use the ELECTRAGO only for the lawful purposes without infringing the rights or restricting the use of this platform by and the third party.

2.6. You are solely responsible any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.

2.7. User represents and warrants that he/she shall at all times respect and follow all the traffic rules and regulations, and the user shall be solely liable to pay any challan issued by the relevant authority during the possession of bike in his/her capacity.

2.8. User further represents and warrants that he/ she shall not ride the bike under the influence of the alcohol or drugs as it is strictly prohibited by the authorities. ELECTRAGO shall not be liable or responsible if any mischief happens during the possession of the bike in user’s capacity, user shall be solely liable to pay all the damages occurred during that period.

2.9. The user agrees that he/she shall not further rent or lend the bike or two-wheeler to any other person without obtaining the ELECTRAGO or the Franchisee’s prior approval.

3. Account Terms and Service Booking

3.1. In order to book a bike on rent through ELECTRAGO App, website, platform, you may be required to register with an account on ELECTRAGO by providing the required details e.g. Your Personal Identification Information. You agree to keep your User ID and Password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

3.2. To complete your Account registration or to facilitates service delivery, you must provide us with your full legal name, business address, phone number, a valid email address, area pin code, your driving license copy, aadhar card and any other relevant information indicated as required

3.3. You acknowledge that ELECTRAGO will use the email address you provide on opening an Account or as updated by you from time to time as the primary method for communication with you (“Primary Email Address”). You must monitor the Primary Email Address you provide to ELECTRAGO and your Primary Email Address must be capable of both sending and receiving messages. Your email communications with ELECTRAGO can only be authenticated if they come from your Primary Email Address.

3.4. ELECTRAGO allows users to book a bike on rent through its App, upon acceptance of such booking request, the ELECTRAGO, subject to the terms and conditions set out herein, shall help in facilitating the renting bike services through on boarded Vendors requested by the users through ELECTRAGO App, website, platform.

3.5. ELECTRAGO does not own, rent or offer on its own such bike renting services, these services are offered by the on-boarded Franchisee, Vendors or Service Providers only, ELECTRAGO is an online service providing platform by engaging them. We reserve the right to refuse the services on the App at our sole discretion to anyone for any reason at any time.

3.6.We generally send the confirmation mail for booking order or notification for the booking to the user within 24 (twenty-four) hours after the booking confirmation that request. If you have not received the booking confirmation mail, in such case you may contact us immediately through contact us or by writing mail to us.

3.7.You agree and acknowledge that you have obtained eighteen (18) years of age or older to book a bike on rent, if you are under age your booking shall be cancelled at the option of ELECTRAGO.

3.8.A bike hired on rent through ELECTRAGO needs to be returned or drop at the specified date, time or location as mentioned in the service booking terms, a delay of more than fifteen (15) minutes without intimating the ELECTRAGO or Franchisee shall invite a penalty.

3.9.In case of damage to the bike or two-wheeler booked on rent due to accident/mishandling/carelessness, appropriate charges will be calculated by the Franchisee owner or ELECTRAGO and the user shall be liable to pay the same along with the daily tariff until the bike is ready for renting again. And in case of theft, or bike is stolen, the user is further liable to pay, in full, the market rate of that bike or two-wheeler.

3.10.During the possession of the user’s, if the rented bike or two-wheeler’ engine is failed, the user need to contact the Field Executive of ELECTRAGO or Franchisee owner before getting any repairs done. The original printed invoice is mandatory to claim reimbursement for the same.

3.11.If a user wants to extend the renting time of bike or two-wheeler, the request for the extension shall be made at least one (1) before the drop-off time. Such requests are to be made through ELECTRAGO App, website, platform, website, platform or ELECTRAGO Field Executive, and the Franchisee Owner over the phone or the relevant medium. The request shall be further confirmed or can be denied as per the availability of bikes, at the option of ELECTRAGO or the Franchisee owner. And in case the user doesn’t drop the bike or two-wheeler in spite of a denied extension request, penalty charges shall be further applicable.

3.12.The user further agrees and acknowledges that he/she be liable to pay the applicable charges of bike renting if the trip extension request is entertained by the ELECTRAGO or the Franchisee owner.

4. User’s Agreement with Franchisee

4.1.In addition to this, the Rider agrees and represents that he/she shall be at all times binding upon the terms and condition of the “User’s Agreement for Rental Bike” documents, which shall be further signed by the rider during the picking up of the rental two-wheeler from the Franchisee’s location.

4.2.The rider further represents and agrees that he/she shall follow all the directions and terms provided or signed with the Franchisee while taking possession of the rental two-wheeler booked through the ELECTRAGO’s digital platform.

4.3.In case of any breach of the terms and conditions of this Agreement and the “User’s Agreement for Rental Bike”, the rider shall solely be responsible, ELECTRAGO and Franchisee shall not held any responsibilities for the rider’s breach of any terms and conditions of the Agreement.

5. Price and Payment

5.1.When you make a request of booking for bike renting on ELECTRAGO, you agree to pay us the specific monetary amount or the reflected price on concerned page of the ELECTRAGO App, website, platform. The final amount required for payment for the bike renting services that you booked will be shown to you immediately prior to making final payment for the services.

5.2.For that you agree to provide current, complete, and accurate account information for all service booking made via the ELECTRAGO App, website, platform. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that your transaction can be completed. We bill you through an online billing account for booking made via the ELECTRAGO App, website, platform.

5.3.GST and other applicable taxes will be added to the price of booking as deemed required by us. We may change prices at any time. All payments shall be in INR, if ordered in India, or if an order made outside from India, in such case payment shall be made in relevant currency.

5.4.Certain services offered by the ELECTRAGO may be eligible for business purchases, upon your booking of such services eligible for business purchases, you may be able to avail the benefits of the GST input tax credit. Accordingly, at your request, an invoice containing the GSTIN as provided by you (“Tax Invoice”) shall be issued to you by the franchisee(s) offering such services through ELECTRAGO.

5.5.You agree to pay all charges at the reflected prices then in effect for your service booking, and you authorize us to charge your chosen payment provider for any such amounts upon making your service booking.

5.6.We accept the various forms of payment e.g. Debit Card, Credit Card, Net Banking, NEFT, UPI through using third party payment gateway. By using the services, you also accept the third party terms and conditions mentioned on their individual Apps.

6. Booking Cancellation & Refund

6.1.You agree that if any service booking is attempted to cancel, the applicable cancellation charges shall be applied as per this clause.

6.2.If you cancel your bike renting service just before 0-24 hours starting of your trip of booking, the entire booking charges paid by you shall be charged as cancellation fee. There shall be no refund issue for that cancellation.

6.3.In case you cancel your bike renting service before Twenty-four hours (24) hours of starting your bike renting service, twenty (20) % of the total booking charges paid by you shall be charged as cancellation charges, and the remaining eighty (80) % of the booking charges shall be refunded to you.

6.4.In case, a bike renting service booking is cancelled by ELECTRAGO on its end due to the non-availability of the bike, a full refund shall be initiated. There shall be no refund shall be given for cancellation of booking post advance payment.

6.5.We reserve the right to reject or cancel an order for any reason, including errors or omissions in the information you provide to us. If we do so after payment has been processed, we will issue a refund to you in the amount of the Bike renting service booking.

6.6.Refunds processed by the ELECTRAGO may take 1-2 billing cycles to appear on your account and credit card statement, depending on your account and credit card company. We will notify you by email when your refund has been processed.

7. Prohibited Activities

7.1.You may not access or use ELECTRAGO for any purpose other than the purpose for which we make the ELECTRAGO App, website, platform available. The App may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

7.2.As a user of the ELECTRAGO, you agree not to:

7.2.1.Systematically retrieve data or other content from the App to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

7.2.2.Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

7.2.3.Circumvent, disable, or otherwise interfere with security-related features of the BOONGG, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the App and/or the Content contained therein.

7.2.4.Disparage, tarnish, or otherwise harm, in our opinion, us and/or the App.

7.2.5.Use any information obtained from the App in order to harass, abuse, or harm another person.

7.2.6.Make improper use of our support services or submit false reports of abuse or misconduct.

7.2.7.Use the App in a manner inconsistent with any applicable laws or regulations.

7.2.8.Engage in unauthorized framing of or linking to the App.

7.2.9.Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the App or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the App.

7.2.10.Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

7.2.11.Delete the copyright or other proprietary rights notice from any Content.

7.2.12.Attempt to impersonate another user or person or use the username of another user.7.2.13.Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the App to you.

7.2.14.Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the App.

7.2.15.Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the App, or using or launching any unauthorized script or other software.

8. Contribution License

8.1.You agree that we may access, store, process, and use any information and personal data that you provide following the terms of the Privacy Policy and your choices (including settings). And by submitting suggestions or other feedback regarding the App, you agree that we can use and share such feedback for any purpose without compensation to you.8.2.We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the App. You are solely responsible for your Contributions to the App and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

9. Submissions and Feedback

9.1.You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the App ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

10. Affiliated Marketing and Advertisement

10.1.BOONGG through its App and Products available on it, may engage in affiliate marketing whereby BOONGG receives a commission on or percentage of the sale of Products or Services on or through BOONGG. We may also accept advertising and sponsorship from commercial businesses or receive other forms of advertising compensation.10.2.We allow advertisers to display their advertisements and other information in certain areas of the App. We simply provide the space to place such advertisements, and we have no other relationship with advertisers.

11. Privacy Policy

11.1.We care about data privacy and security. By using Electrago, you agree to be bound by our Privacy Policy which is posted on our App, which is in consonance with these Terms of Use. Please be advised the App is hosted in India. If you access the App from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in India, then through your continued use of the App, you are transferring your data to India, and you agree to have your data transferred to and processed in India.

12. Term and Termination of Use

12.1.These Terms and Conditions shall remain in full force and effect while you use the App and make a service booking on BOONGG. Without limiting any other provision of these terms and conditions, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the App (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these terms of use or of any applicable law or regulation. We may terminate your use or participation in the App or delete your account and any content or information that you posted at any time, without warning, in our sole discretion.

12.2.If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

13. Modifications and Interruptions

13.1.We reserve the right to change, modify, or remove the contents of the App at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our App. We also reserve the right to modify or discontinue all or part of the App without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the App.

13.2.We cannot guarantee the App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the App, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the App at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the App during any downtime or discontinuance of the App.

14. Intellectual Property Rights

14.1.Unless otherwise indicated, the BOONGG App, website, platform is our proprietary property and all source code, databases, functionality, software, App designs, audio, video, text, photographs, and graphics on the App (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the India, international copyright laws, and international conventions. The Content and the Marks are provided on the App “AS IS” for your information and personal use only.

14.2.Provided that you are eligible to use the App, you are granted a limited license to access and use the App and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the App, the Content and the Marks.

15. Limitation of Liability

15.1.In no event shall we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the App or making a purchase, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

16. Limitations of Warranties

16.1.By using Electrago, you understand and agree that all Services we provide are "as is" and "as available". This means that we do not represent or warrant to you that:

• Your use of Services will be Uninterrupted or Error-free, that ELECTRAGO will review the information and Services delivered through the App for accuracy or that it will preserve or maintain any such information or Services without loss.

16.2.BOONGG shall not be liable for delays, interruptions, Service failure, or other problems inherent in use of the internet and electronic communications or other systems outside the reasonable control of ELECTRAGO.

17. Indemnification

17.1.You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the App;

(2) breach of these Terms and Condition of Use;

(3) any breach of your representations and warranties set forth in these Terms and Condition of Use;

(4) your violation of the rights of a third party, including but not limited to intellectual property rights; or

(5) any overt harmful act toward any other user of the App with whom you connected via the App.

18. User Data

18.1.We will maintain certain data that you transmit to the App for the purpose of managing the performance of our App, as well as data relating to your use of the App. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the App including your User Id and Password. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

19. Electronic Communications and Transactions

19.1.Visiting the App, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the App, satisfy any legal requirement that such communication be in writing.

19.2.You hereby agree to the use of contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the App.

20. Spam Policy

20.1.You are strictly prohibited from using the App or any of ELECTRAGO information from illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

21. Governing Law

21.1.These Terms shall be governed by and defined following the laws of India. Electrago PVT. LTD. and yourself irrevocably consent that the courts at Pali, Rajasthan shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

22. Dispute Resolution

22.1.To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms and Conditions, the Parties agree to first attempt to negotiate any Dispute through Mutual Discussion before initiating arbitration.

22.2.If the dispute arising out of or in connection with this contract is not resolved through Mutual Discussion shall be referred to the Arbitrator following the procedure mentioned in the Arbitration and Conciliation Act, 1996. The number of arbitrators shall be one

(1). The seat, or legal place, of arbitration shall be Pali, Rajasthan , India. The language to be used in the arbitral proceedings shall be English.

23. Entire Agreement

23.1.The Terms and Conditions, including the documents it incorporates by reference, constitute the entire agreement between you and Electrago and govern your use of the Services and your Account, superseding any prior agreements between you and Electrago (including, but not limited to, any prior versions of the Terms of Service).

23.2.The failure of Electrago to exercise or enforce any right or provision of the Terms and Conditions will not constitute a waiver of such right or provision.
